Jena, 9 January 2019 – The Management Board of INTERSHOP Communications AG (ISIN: DE000A0EPUH1), a leading independent provider of innovative solutions for omni-channel commerce, today decided, with the consent of the Supervisory Board, to increase its capital against cash contributions from the Authorized Capital II granting existing shareholders of the company pre-emptive rights. The share capital is to be increased by up to EUR 4,356,478 from EUR 34,851,831 Euro to up to EUR 39,208,309. The new shares will initially be offered to shareholders for subscription at a price of EUR 1.14 per new share at a ratio of 8:1 during a subscription period from 14 January 2019 to 28 January 2019. New shares that are not subscribed by the existing shareholders will be offered to selected institutional investors at the same offering price in a private placement. The transaction will be managed by Bankhaus Scheich Wertpapierspezialist AG. The new shares have dividend rights as of 1 January 2018.

The capital increase serves to finance the transformation of the business model based on software licenses to recurring cloud income. Intershop is building on the commerce-as-a-service solution introduced in spring 2018, which represents an important milestone in the history of the company. Cloud-related orders picked up noticeably especially in the fourth quarter of 2018. Based on this momentum, the proceeds from the capital increase will be used to accelerate the marketing of the new solutions in order to consolidate the transformation towards a provider of cloud-based omni-channel commerce solutions. In doing so, the company will benefit from its excellent technological market position, which is not least reflected in the top ratings obtained from leading industry analysts, as well as from the intensified partnership with Microsoft, the global cloud market leader, which has just been underlined by the award of the Gold ISV Competency.

This strategy is also being supported by our existing shareholders, who have indicated that they will participate in the capital increase within the framework of their pre-emptive rights.”

No trading of pre-emptive rights will be organized; unexercised pre-emptive rights will expire worthless. In addition to exercising their pre-emptive rights, all shareholders will have the possibility to participate in the capital increase in the context of an oversubscription.
